Welcome to MOTI, operated by Moti Media Limited ("we", "us", or "our"). These Terms of Service ("Terms") govern your use of our websites and products, including MOTI.BIO, collectively referred to as "MOTI". By accessing or using MOTI, including our B2B services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

3. B2B Services

When using MOTI's B2B services, you agree to:

Provide true, accurate, and complete information required for MOTI to deliver the services.
Ensure compliance with all applicable laws and regulations in your use of our services.

4. Intellectual Property

All intellectual property rights in and to the service are and shall remain the exclusive property of Moti Media Limited and its licensors.

To the maximum extent permitted by applicable law, in no event shall Moti Media Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

8. Indemnification

You agree to defend, indemnify, and hold harmless Moti Media Limited and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of and access to the Service, or from your violation of these Terms. Additionally, you agree to indemnify and hold us harmless from any claims resulting from the use of our B2B services provided to you, including any actions taken by a third party using your account, whether authorized or unauthorized.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Macau SAR, without regard to its conflict of law provisions.
